📋 Agreement Overview

These Terms and Conditions ("Terms") govern your use of CloudFace AI, a product of Elephic Technologies, located at E-2/22, Block E2, DLF Phase 1, Sector 26A, Gurugram, Haryana 122003, India. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing, browsing, or using CloudFace AI ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Service.

Who can use the Service:

You must be at least 13 years of age
You must have a valid Google account
You must comply with all applicable laws in your jurisdiction
You must not be prohibited from using the Service under any applicable law

2. Service Description

2.1 What We Provide

CloudFace AI is an AI-powered face recognition platform that helps you:

Face Detection: Automatically detect faces in your photos
Face Search: Find specific people across large photo collections
Photo Organization: Organize photos by the people in them
Google Drive Integration: Process photos directly from your Drive folders
Video Search: Find faces in video content
Batch Download: Download matching photos easily

2.2 How It Works

You sign in with your Google account
You provide a Google Drive folder URL containing photos
We process photos using AI to detect faces and create mathematical embeddings
Face embeddings are stored in YOUR Google Drive (not our servers)
You upload a selfie to search for matches
We show you all photos containing matching faces

3. Google Account & Drive Integration

3.1 Google OAuth Authentication

CloudFace AI uses Google OAuth 2.0 for secure authentication. By signing in, you authorize us to:

Access your email address and basic profile information
Access read-only permissions to your Google Drive (scope: drive.readonly)

3.2 Google Drive Permissions

Read-Only Access: We request https://www.googleapis.com/auth/drive.readonly which allows us to:

✅ List files in folders you share with us
✅ Download photos temporarily for face detection
✅ Read file metadata (names, sizes, types)
❌ We CANNOT modify, delete, or create files

3.3 Your Responsibilities

Ensure you have rights to process the photos you submit
Only share folders containing photos you own or have permission to process
Do not process photos of individuals without their consent (where required by law)
Comply with applicable privacy laws (GDPR, CCPA, etc.)

3.4 Revoking Access

You can revoke CloudFace AI's Google Drive access at any time through Google Account Settings. Upon revocation, we will no longer be able to process new photos from your Drive.

4. Subscription Plans & Billing

4.1 Available Plans

Starter (Free): 500 images, 0 videos
Personal: ₹2,999/year - 10,000 images, 10 videos
Professional: ₹4,999/year - 20,000 images, 20 videos
Business: ₹8,999/year - 50,000 images, 50 videos
Business Plus: ₹12,999/year - 150,000 images, 150 videos
Enterprise: Contact us for custom plans

4.2 Payment Terms

Subscriptions are billed annually in advance
Payments processed securely via Razorpay
All prices are in Indian Rupees (INR) or US Dollars (USD)
Prices subject to change with 30 days notice
Accepted payment methods: UPI, Credit/Debit Cards, Net Banking, Wallets (Paytm, PhonePe, etc.)
All prices include applicable taxes (GST for Indian customers)
No additional transaction fees charged by CloudFace AI

4.3 Refund Policy

Please refer to our Refund Policy for detailed information about refunds and cancellations.

4.4 Dispute Resolution

For any payment-related disputes, please contact us first at support@cloudface-ai.com
We will investigate and respond within 5 business days
If unresolved, disputes may be escalated to Razorpay's dispute resolution process
Chargebacks will be handled according to Razorpay's policies and procedures
We reserve the right to suspend accounts with excessive disputes or chargebacks

5. Acceptable Use Policy

5.1 Permitted Use

You may use CloudFace AI for:

Personal photo organization and management
Finding yourself or family members in photo collections
Professional photography workflows (with client consent)
Event photography organization
Legitimate business purposes

5.2 Prohibited Use

You agree NOT to:

❌ Use for surveillance or stalking
❌ Process photos without subjects' consent (where required by law)
❌ Violate anyone's privacy rights
❌ Upload illegal, obscene, or inappropriate content
❌ Reverse engineer or copy our AI models
❌ Resell or redistribute our services
❌ Use for law enforcement without proper authorization
❌ Create fake identities or impersonate others

5.3 Consequences of Violation

Violation of these terms may result in:

Immediate account suspension or termination
No refund of subscription fees
Legal action if applicable
Reporting to authorities for illegal activities

6. Data Ownership & Processing

6.1 Your Data Ownership

You retain full ownership of all photos and content you upload
We do NOT claim any ownership rights to your photos
Face embeddings created from your photos belong to you

6.2 License Grant to Us

By using the Service, you grant us a limited, non-exclusive license to:

Process your photos for face detection and recognition
Create and store face embeddings in your Google Drive
Display search results to you

This license is:

Limited to providing the Service only
Revocable by deleting your account
Non-transferable to third parties

6.3 What Happens to Your Data

Photos: Processed in memory and immediately deleted (retention: < 60 seconds)
Face Embeddings: Stored in YOUR Google Drive (we don't keep copies)
Search History: Not stored permanently
Account Deletion: Contact support@cloudface-ai.com to delete all data

7. Intellectual Property

7.1 Our Intellectual Property

CloudFace AI, logos, and branding are trademarks of Elephic Technologies
AI models, algorithms, and software are our proprietary technology
Website design, content, and documentation are copyrighted

7.2 Restrictions

You may NOT:

Copy, modify, or distribute our software
Reverse engineer our AI models or algorithms
Use our trademarks without written permission
Create derivative works from our technology

8. Service Availability & Limitations

8.1 Service Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted service
Scheduled maintenance may cause temporary downtime
We will notify users of planned maintenance when possible

8.2 Technical Limitations

Face detection accuracy depends on photo quality
Processing time varies based on photo count and server load
Some photos may not contain detectable faces
Results are provided "as is" without guarantee of 100% accuracy

8.3 Usage Limits

Plan-based limits apply. Exceeding limits may result in service throttling or upgrade requirements.

9. Disclaimers & Limitation of Liability

9.1 Service "As Is"

CloudFace AI is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy of face recognition results

9.2 Limitation of Liability

To the maximum extent permitted by law, CloudFace AI and Elephic Technologies shall NOT be liable for:

Indirect, incidental, or consequential damages
Loss of profits, data, or business opportunities
Errors or inaccuracies in face recognition results
Unauthorized access to your Google account (if you share credentials)
Damages exceeding the amount you paid us in the last 12 months

9.3 Indemnification

You agree to indemnify and hold harmless CloudFace AI, Elephic Technologies, and our affiliates from any claims arising from:

Your violation of these Terms
Your violation of any third-party rights
Your misuse of the Service
Illegal or unauthorized use of the Service

10. Account Termination

10.1 Your Right to Terminate

You may terminate your account at any time by contacting support@cloudface-ai.com
Upon termination, your subscription will remain active until the end of the billing period
No pro-rated refunds for early termination (unless covered by refund policy)

10.2 Our Right to Terminate

We may suspend or terminate your account if:

You violate these Terms or our policies
You engage in fraudulent or illegal activities
Your account has been inactive for 12+ months
Required by law or legal authority

10.3 Effect of Termination

Your right to use the Service will cease immediately
Face embeddings in YOUR Google Drive remain yours (we don't delete them)
We may delete server-side data (search history, logs)
Outstanding payment obligations remain due

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be:

Posted on this page with an updated "Last Updated" date
Communicated via email for material changes
Effective immediately upon posting (or as specified)

Your continued use of CloudFace AI after changes constitutes acceptance of the updated Terms.

12. Governing Law & Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Gurugram, Haryana, India.

12.2 Dispute Resolution

Informal Resolution: Contact support@cloudface-ai.com to resolve disputes informally
Mediation: If informal resolution fails, parties agree to attempt mediation
Arbitration/Litigation: Unresolved disputes subject to binding arbitration or litigation in India
